1. Introduction and Acceptance

Welcome to VORTEX GLOBAL VENTURES LLC, operating under the brand name "Vortex Global" ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our consulting services, including but not limited to e-commerce solutions, growth marketing, and logistics consulting (collectively, the "Services").

By engaging our Services, signing our Terms of Service PDF, or making a payment, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Service Agreement and Delivery Process

Our consultancy services follow a structured delivery process to ensure transparency and quality:

1. Initial Consultation Request: Client submits inquiry through our contact form or scheduled call.
2. Proposal and Terms Delivery: We provide a customized proposal and deliver our Terms of Service PDF for review.
3. Terms Acceptance: Client reviews, signs, and returns the Terms of Service PDF.
4. Payment Processing: Client completes payment through Stripe, Zoho, or approved banking partners.
5. Service Commencement: Consultancy services begin immediately upon confirmed payment and signed terms.
6. Ongoing Delivery: Services continue as outlined in the specific engagement agreement.

Important: Consultancy services officially begin only after (a) signed Terms of Service PDF is received by us, AND (b) payment is confirmed and cleared. No work will commence until both conditions are satisfied.

3. Payment Terms and Processing

All payments for Services must be made in advance unless otherwise agreed in writing. We accept payments through the following secure methods:

• Stripe Payment Processing
• Zoho Checkout
• Bank Wire Transfer (for enterprise clients)
• ACH Transfer (US clients only)

Payment Security: All payment processing occurs through PCI DSS compliant systems. We never store complete credit card information on our servers. Payment data is processed and secured by our trusted banking partners and payment processors.

Currency: All fees are quoted and payable in United States Dollars (USD) unless otherwise specified in your engagement agreement.

Late Payments: Services may be suspended for accounts with payments overdue by more than 15 days. A reactivation fee of $250 may apply to resume services.

4. No Refund Policy

This no-refund policy applies to:

• All consulting fees and service charges
• Setup fees and onboarding costs
• Monthly retainer fees
• Project-based fees
• Any deposits or advance payments

Exceptions: The only exception to this policy occurs if VORTEX GLOBAL VENTURES LLC fails to deliver the agreed-upon services due solely to company fault (not client delay, non-cooperation, or force majeure). In such rare cases, a credit toward future services may be issued at our sole discretion.

5. Client Responsibilities and Cooperation

Successful delivery of Services requires active cooperation from the Client. You agree to:

• Provide accurate, complete, and timely information as requested
• Grant necessary access to accounts, platforms, and systems
• Respond to communications within 48 business hours
• Implement recommended strategies and action items
• Attend scheduled consultation calls and meetings
• Make timely payments as agreed

Delayed Cooperation: Project timelines may be extended due to client delays without additional cost to us. We are not responsible for delayed results caused by client non-cooperation or delayed responses.

6. Intellectual Property Rights

Our Materials: All consulting materials, methodologies, frameworks, reports, documents, and deliverables created by VORTEX GLOBAL VENTURES LLC remain our exclusive intellectual property. Clients receive a limited, non-transferable license to use these materials solely for their internal business operations.

Client Data: You retain all rights to your business data, customer information, and proprietary business processes. We maintain strict confidentiality and will not share your information with third parties except as required to deliver Services.

Non-Disclosure: Both parties agree to maintain confidentiality of proprietary information shared during the engagement for a period of 5 years following service completion.

7. Limitation of Liability and Disclaimer

Consulting Nature: Our Services constitute professional consulting and advisory services. While we strive for excellence, we do not guarantee specific business results, revenue increases, or outcomes. Business success depends on numerous factors beyond our control, including market conditions, client implementation, and external variables.

Maximum Liability: To the maximum extent permitted by applicable law, VORTEX GLOBAL VENTURES LLC's total liability for any claim arising from or related to these Terms or the Services shall not exceed the total amount paid by Client to Company in the 12 months preceding the claim.

Exclusion of Consequential Damages: In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, or loss of business opportunity.

Assumption of Risk: Client acknowledges that business consulting involves inherent uncertainties and assumes all risks related to implementation of recommendations.

8. Term and Termination

Term: These Terms commence upon Client's signature of the Terms of Service PDF and continue until completion of Services or termination as outlined below.

Termination by Client: Clients may terminate ongoing services with 30 days written notice. No refunds will be issued for prepaid fees (see Section 4).

Termination by Company: We may terminate services immediately if Client:

• Fails to make timely payments
• Violates these Terms
• Engages in fraudulent or illegal activities
• Fails to cooperate after multiple requests

Effect of Termination: Upon termination, all licenses granted to Client shall cease, and Client must cease use of all Company materials.

9. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Jurisdiction: Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in Miami-Dade County, Florida.

Dispute Resolution: Before initiating litigation, parties agree to attempt good-faith negotiation for at least 30 days. If negotiation fails, parties may pursue mediation through a mutually agreed mediator in Miami, Florida.

Class Action Waiver: Client agrees that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms to our website with a new "Last Updated" date.

Notification: Material changes will be communicated to active Clients via email. Continued use of Services after changes constitutes acceptance of revised Terms.
